Changes in Procedures for Registration of Legal Entities

New amendments to Russian legislation pertaining to state registration of new legal entities and alterations to registered data of existing legal entities in the Unified State Register of Legal Entities (USRLE) will come into effect on July 4, 2013. Here are the most significant changes:

1. New application forms will be implemented. New applications will be processed digitally; therefore, any deviation from established standards or error may lead to denial of registration.
2. All founding members must be established as applicants when registering a new company by appearing in person (together or individually) before a public notary to have their signature notarized on the registration application.
3. Registration of data alterations of existing companies will be certified by new document – Record Form of the USRLE, instead of a Certificate of Registration used in the past. The Certificate of Registration will be issued only for registration of new legal entities.
